These Terms of Use constitute a legally binding agreement between you (“you,” “your,” or “User”) and ScoreHub Digital LLC, a limited liability company organized under the laws of the State of Georgia, United States, doing business as ScoreHub, with a business address at 3379 Peachtree Rd NE, Ste 700 #A131, Atlanta, Georgia 30326, United States (“ScoreHub,” “we,” “us,” or “our”).

These Terms govern your access to and use of the ScoreHub website, mobile applications, MatchHub, prediction features, profiles, activity feeds, leaderboards, private groups, competitions, rewards features, and related products and services, collectively referred to as the “Platform.”

By creating an account, accessing or using the Platform, submitting a prediction, participating in a competition, or requesting a reward, you acknowledge that you have read, understood, and agreed to these Terms.

Your use of the Platform is also governed by:

  • The ScoreHub Privacy Policy;
  • The ScoreHub Official Game & Rewards Rules;
  • Any additional terms displayed for a particular promotion, competition, league, private group, quest, reward, campaign, or feature.

If you do not agree to these Terms, you must not create an account or use the Platform.

1. DOCUMENT PRIORITY

These Terms govern the general legal relationship between you and ScoreHub, including account access, Platform use, intellectual property, User Content, disclaimers, limitations of liability, termination, governing law, and dispute resolution.

The Official Game & Rewards Rules govern:

  • Predictions and prediction locks;
  • Scoring and stack bonuses;
  • Match and prediction settlement;
  • Points and accuracy calculations;
  • Leaderboards and tie-breaking;
  • Tokens and token expiration;
  • Reward eligibility and redemption;
  • Competitive-integrity reviews;
  • Point disputes, corrections, and enforcement.

Specific terms displayed for an individual promotion, competition, quest, campaign, private group, or reward govern that specific activity.

If two documents conflict:

  • Specific promotion or competition terms control for that particular activity;
  • The Official Game & Rewards Rules control game and rewards administration;
  • These Terms control general Platform use and legal disputes;
  • The Privacy Policy controls ScoreHub’s handling of personal information.

Mandatory rights under applicable law continue to apply where they cannot lawfully be waived.

2. ELIGIBILITY

2.1 Minimum age

You must be at least thirteen years old to create or use a ScoreHub account.

If the laws applicable to you require a higher minimum age to use an online service without parental or legal guardian consent, you must satisfy that higher age requirement or obtain any legally required consent.

The Platform is not intended for children under thirteen. If ScoreHub learns that an account is operated by a child under thirteen, ScoreHub may terminate the account and handle the associated information in accordance with the Privacy Policy and applicable law.

2.2 Users under the age of majority

If you are under the age of majority in your country or jurisdiction of legal residence, you may use the Platform only with the permission and supervision of a parent or legal guardian where required by applicable law.

A parent or legal guardian who permits a minor to use the Platform is responsible for supervising the minor’s use of the Platform and compliance with these Terms.

ScoreHub may limit features available to minors, including tokens, competitions, public content, messaging, identity verification, and rewards.

2.3 Reward redemption

Unless ScoreHub expressly provides otherwise in specific competition terms, you must have reached the age of majority under the laws of your verified country or jurisdiction of legal residence to redeem a reward.

Creating an account, making predictions, appearing on a leaderboard, or accumulating tokens does not by itself establish eligibility to redeem rewards.

Reward eligibility may also depend on:

  • Verified identity and legal residence;
  • Age and address verification;
  • Country or regional restrictions;
  • Sanctions and export-control requirements;
  • Reward availability and delivery limitations;
  • Compliance with these Terms and the Official Game & Rewards Rules.

2.4 Legal restrictions

You may not access or use the Platform where doing so would violate applicable law.

You may not use the Platform if:

  • You are legally incapable of agreeing to these Terms;
  • You are subject to sanctions or legal restrictions that prohibit ScoreHub from providing services to you;
  • Your use would cause ScoreHub to violate applicable law;
  • ScoreHub previously permanently terminated or disqualified you, unless ScoreHub gives you written authorization to return.

You are responsible for complying with laws applicable to your use of the Platform.

3. NATURE OF SCOREHUB

3.1 Free-to-play football prediction platform

ScoreHub is designed and operated as a free-to-play football knowledge and prediction platform.

ScoreHub does not accept:

  • Bets or wagers;
  • Deposits or stakes;
  • Entry fees for scored predictions;
  • Money risked on prediction outcomes;
  • Payments for leaderboard points;
  • Payments for improved prediction results;
  • Payments for increased token awards;
  • Payments for additional scored prediction opportunities;
  • Payments for another competitive advantage.

Users do not stake money, tokens, rewards, or anything else of value when submitting predictions.

Incorrect predictions may affect ScoreHub points under the published scoring system, but they do not cause a User to lose money, previously credited tokens, or completed rewards.

ScoreHub does not operate as a bookmaker, casino, sportsbook, betting exchange, or custodian of wagering funds.

3.2 Points, tokens, and rewards

Points, tokens, leaderboards, badges, competitions, rewards, and redemptions are governed by the Official Game & Rewards Rules.

Unless expressly provided in those Rules or specific competition terms:

  • Points are not money;
  • Points do not directly convert into tokens;
  • Tokens are not money, cryptocurrency, legal tender, or stored value;
  • Tokens cannot be purchased, sold, transferred, withdrawn, or exchanged for cash;
  • Participation does not guarantee a reward;
  • Holding enough tokens does not guarantee that a particular reward will remain available.

Where the Official Game & Rewards Rules expressly provide that an eligible final leaderboard position receives a specified token award, ScoreHub will administer that award under those Rules, subject to final settlement, verification, fraud review, technical correction, availability, and applicable law.

3.3 No earnings or employment relationship

ScoreHub does not operate a revenue-sharing, wage, salary, investment-return, or earnings program for ordinary Users.

Predictions, rankings, User Content, points, tokens, or other Platform activity do not create:

  • Employment;
  • Independent-contractor status;
  • A partnership;
  • A joint venture;
  • An agency relationship;
  • A fiduciary relationship;
  • A right to wages, profits, compensation, or revenue sharing.

This section does not prevent ScoreHub from entering into a separate written sponsorship, creator, promotional, employment, or contractor agreement with a particular person or organization.

3.4 Beta and experimental features

ScoreHub may designate certain features as beta, experimental, early access, limited release, or testing features.

Such features may be incomplete, contain errors, operate differently than expected, or be modified, suspended, or discontinued.

However, the beta or experimental status of the Platform does not override expressly published competition or token-award terms after the applicable competition period has begun, except as permitted by the Official Game & Rewards Rules for matters such as:

  • Fraud or manipulation;
  • Incorrect or unreliable sports data;
  • Settlement errors;
  • Technical failures;
  • Security incidents;
  • Legal requirements;
  • Manifest mistakes;
  • Circumstances affecting the fair operation of the competition.

4. ACCOUNTS

4.1 Account registration

You must provide accurate, complete, and current information when creating and maintaining an account.

You may not:

  • Impersonate another person or organization;
  • Misrepresent your identity, age, location, or legal residence;
  • Create an account for another person without authorization;
  • Use false information to obtain points, tokens, or rewards;
  • Use another person’s account;
  • Permit another person to control your account.

Unless ScoreHub expressly authorizes otherwise, each person may create, operate, control, and benefit from only one ScoreHub account.

4.2 Account security

You are responsible for safeguarding your account credentials, authentication methods, and devices.

You must promptly notify ScoreHub at support@scorehubapp.com if you suspect:

  • Unauthorized account access;
  • Compromised credentials;
  • Account sharing;
  • Fraudulent activity;
  • Unauthorized predictions or redemptions;
  • Any other misuse of your account.

ScoreHub may treat activity performed through your account as authorized by you unless ScoreHub determines otherwise.

4.3 Usernames and profiles

Usernames, profile images, nationalities, favorite teams, biographies, and other profile information must comply with these Terms.

ScoreHub may reject, change, reclaim, restrict, or remove profile information that:

  • Impersonates another person or organization;
  • Infringes intellectual-property, privacy, or publicity rights;
  • Is misleading, unlawful, threatening, discriminatory, or abusive;
  • Contains unauthorized advertising or solicitation;
  • Creates security or competitive-integrity concerns;
  • Uses a ScoreHub name, trademark, or identifier without authorization.

4.4 Account deletion

You may request account deletion through the Platform or by contacting ScoreHub.

Account deletion may permanently remove or forfeit associated:

  • Predictions and competition records;
  • Points and leaderboard positions;
  • Badges and achievements;
  • Unused tokens;
  • Pending token awards;
  • Pending redemptions;
  • Unfulfilled rewards.

The consequences of account deletion for points, tokens, redemptions, and rewards are governed by the Official Game & Rewards Rules.

ScoreHub may retain information after account deletion where reasonably necessary for:

  • Legal and regulatory compliance;
  • Security and fraud prevention;
  • Financial and tax records;
  • Dispute resolution;
  • Enforcement of these Terms;
  • Platform and competition integrity;
  • Backup and disaster-recovery systems.

Personal information will otherwise be handled in accordance with the Privacy Policy and applicable law.

5. ACCEPTABLE USE AND USER CONDUCT

You agree not to use the Platform to:

  • Violate any applicable law or regulation;
  • Harass, threaten, stalk, intimidate, or abuse another person;
  • Publish hate speech or discriminatory content;
  • Impersonate another person or misrepresent an affiliation;
  • Infringe copyright, trademark, privacy, publicity, or other rights;
  • Publish fraudulent, deceptive, or unlawfully misleading material;
  • Promote illegal gambling or unlawfully direct Users to real-money wagering services;
  • Distribute malware, malicious code, or harmful files;
  • Interfere with the Platform, servers, networks, or security systems;
  • Obtain unauthorized access to accounts, systems, data, or administrative tools;
  • Scrape, crawl, harvest, or systematically extract Platform data without written authorization;
  • Reverse engineer, decompile, disassemble, or attempt to derive source code;
  • Circumvent prediction locks, access controls, geographical restrictions, or security protections;
  • Send spam, unauthorized advertisements, or mass solicitations;
  • Use the Platform for unlawful commercial activity;
  • Assist or encourage another person to perform prohibited conduct.

ScoreHub may investigate suspected violations and may remove content, restrict features, suspend accounts, terminate accounts, preserve evidence, or cooperate with lawful authorities where appropriate.

6. COMPETITIVE INTEGRITY

You must participate through ordinary human interaction and in accordance with the Official Game & Rewards Rules.

Unless ScoreHub expressly authorizes otherwise in writing, you may not use:

  • Bots or scripts;
  • Automated prediction tools;
  • Automated account-management systems;
  • Multiple accounts;
  • Shared, purchased, or transferred accounts;
  • Coordinated manipulation;
  • Unauthorized administrative access;
  • Technical exploits;
  • Delayed prediction-lock vulnerabilities;
  • Duplicate token or reward credits;
  • False identity, age, or residence information;
  • Unauthorized token trading;
  • Other methods designed to obtain an unfair advantage.

Publicly visible predictions may be reviewed and independently selected by other Users. However, systematic or coordinated copying intended to manipulate leaderboard positions, tokens, or rewards may be investigated and penalized under the Official Game & Rewards Rules.

Ordinary use of a virtual private network or proxy is not automatically prohibited. A virtual private network or proxy may not be used to:

  • Conceal reward ineligibility;
  • Evade country restrictions;
  • Operate multiple accounts;
  • Misrepresent legal residence;
  • Manipulate competitions;
  • Circumvent verification or enforcement.

7. PLATFORM LICENSE

Subject to your compliance with these Terms, ScoreHub grants you a limited, personal, nonexclusive, nontransferable, nonsublicensable, and revocable license to access and use the Platform for its intended purposes.

This license does not permit you to:

  • Sell, rent, license, or commercially exploit the Platform;
  • Copy or reproduce substantial portions of the Platform;
  • Use the Platform to create or improve a competing product without written authorization;
  • Extract or commercialize Platform databases;
  • Remove copyright, trademark, or ownership notices;
  • Use ScoreHub branding without permission;
  • Make the Platform available to unauthorized third parties;
  • Use the Platform in a manner inconsistent with these Terms.

ScoreHub may revoke this license if you violate these Terms or if your access is suspended or terminated.

8. SCOREHUB INTELLECTUAL PROPERTY

The Platform and its associated software, technology, source code, object code, interfaces, graphics, logos, trademarks, scoring displays, databases, text, audiovisual materials, organization, and other content are owned by or licensed to ScoreHub.

These materials are protected by applicable intellectual-property and unfair-competition laws.

Except for the limited license granted in Section 7, these Terms do not transfer any ownership interest in ScoreHub intellectual property to you.

“ScoreHub,” its logos, and associated product names are trademarks or identifiers of ScoreHub Digital LLC. You may not use them without prior written permission.

9. USER CONTENT

9.1 Ownership

You retain ownership of content you create and submit to the Platform, subject to the license granted below.

“User Content” may include:

  • Comments;
  • Profile information;
  • Profile images;
  • Posts;
  • Messages;
  • Predictions and prediction-related commentary;
  • Images, text, or other materials submitted through Platform features.

9.2 License to ScoreHub

By submitting User Content, you grant ScoreHub a worldwide, nonexclusive, royalty-free, transferable, and sublicensable license to:

  • Host, store, reproduce, display, distribute, and transmit the content;
  • Format, resize, translate, moderate, and adapt the content;
  • Make the content available through Platform feeds, profiles, leaderboards, groups, match pages, and related features;
  • Operate, secure, analyze, improve, and promote the Platform;
  • Enforce these Terms and the Official Game & Rewards Rules.

This license continues for as long as reasonably necessary to operate the Platform and maintain legitimate records.

After content or an account is deleted, ScoreHub may retain and use copies where reasonably necessary for:

  • Historical leaderboard and competition records;
  • Content previously shared with other Users;
  • Backups;
  • Legal compliance;
  • Fraud prevention;
  • Security;
  • Dispute resolution;
  • Enforcement.

9.3 Your representations

You represent and warrant that:

  • You own your User Content or have permission to submit it;
  • Your User Content does not violate applicable law;
  • Your User Content does not infringe another person’s rights;
  • Your User Content does not contain confidential information you lack authority to disclose.

9.4 Public content

Predictions, profile information, leaderboard activity, badges, and other designated features may be publicly visible.

Do not submit information that you do not want displayed or shared through the Platform.

9.5 Moderation

ScoreHub is not obligated to review every item of User Content.

ScoreHub may remove, restrict, preserve, or disclose User Content where reasonably necessary to:

  • Enforce these Terms;
  • Enforce the Official Game & Rewards Rules;
  • Protect Users or third parties;
  • Investigate fraud or security incidents;
  • Respond to legal process;
  • Comply with applicable law;
  • Maintain Platform integrity.

9.6 Feedback

If you voluntarily provide ideas, suggestions, proposals, or feedback concerning ScoreHub, ScoreHub may use them without restriction or compensation to you.

10. PREDICTIONS, DATA, AND THIRD-PARTY SERVICES

10.1 No guarantee regarding predictions

Predictions are submitted for entertainment, knowledge-based competition, and community engagement.

ScoreHub does not guarantee that:

  • A prediction will be accurate;
  • Displayed statistics will remain unchanged;
  • A User will achieve a particular ranking;
  • A prediction strategy will produce a particular result;
  • A User will receive points, tokens, or rewards except as expressly provided under the applicable Rules.

10.2 Third-party football data

ScoreHub may rely on third-party data providers, sports organizations, official football sources, technology providers, and other services.

Third-party information may be:

  • Delayed;
  • Incomplete;
  • Unavailable;
  • Inconsistent;
  • Corrected after publication;
  • Incorrect.

The Official Game & Rewards Rules govern the settlement, correction, recalculation, or voiding of predictions, matches, points, leaderboards, tokens, and pending redemptions.

10.3 Third-party services

The Platform may include or rely on:

  • Data providers;
  • Hosting and cloud providers;
  • Authentication services;
  • Analytics services;
  • Advertising providers;
  • Identity-verification services;
  • Reward suppliers;
  • Delivery providers;
  • Payment processors for permitted charges;
  • App stores;
  • Social platforms;
  • External websites.

Third-party services may be governed by their own terms and privacy practices.

ScoreHub is not responsible for third-party acts, omissions, content, availability, security, or performance except where applicable law provides otherwise.

10.4 External links

The Platform may contain links to websites or services not operated by ScoreHub.

A link does not mean that ScoreHub endorses or controls the third party. You access third-party websites and services at your own risk and subject to their terms and privacy practices.

11. OPTIONAL PAID FEATURES

ScoreHub may introduce paid cosmetic, advertising-free, subscription, or other noncompetitive features.

Any price, billing period, renewal term, cancellation right, and refund condition will be displayed before purchase or governed by the applicable app store or payment provider.

Paid features will not permit a User to:

  • Purchase leaderboard points;
  • Purchase scored prediction advantages;
  • Improve the accuracy or settlement of predictions;
  • Multiply token awards;
  • Purchase entry into rewarded Points leaderboards;
  • Obtain another pay-to-win advantage.

ScoreHub may modify or discontinue paid features subject to applicable law and any specific purchase terms.

12. PRIVACY AND COMMUNICATIONS

12.1 Privacy Policy

ScoreHub’s collection, use, storage, disclosure, and deletion of personal information are governed by the Privacy Policy.

12.2 Service communications

You agree that ScoreHub may send service-related communications concerning:

  • Account security;
  • Identity or eligibility verification;
  • Predictions and competitions;
  • Rule or policy changes;
  • Tokens and rewards;
  • Redemptions;
  • Technical incidents;
  • Legal notices;
  • Customer support.

These communications may be required for the operation of your account and may not always be optional.

12.3 Marketing communications

Where permitted by law, ScoreHub may send marketing communications.

You may unsubscribe from marketing emails through the method provided in the communication. Unsubscribing from marketing does not prevent essential account, transactional, security, or legal communications.

12.4 Push notifications and permissions

Push notifications and device permissions may be managed through the Platform or your device settings.

Disabling notifications may prevent you from receiving reminders or updates, but it does not change your obligations under these Terms or the Official Game & Rewards Rules.

13. SUSPENSION AND TERMINATION

13.1 Action by ScoreHub

ScoreHub may warn, restrict, suspend, or terminate an account where ScoreHub reasonably believes that:

  • These Terms have been violated;
  • The Official Game & Rewards Rules have been violated;
  • The account creates a security or legal risk;
  • Fraud, manipulation, or abuse has occurred;
  • Information provided by the User is false, inaccurate, or unverifiable;
  • ScoreHub is required to act by law or a service provider;
  • Continued access may harm ScoreHub, its Users, or third parties;
  • The Platform or relevant feature is being discontinued.

Where appropriate, ScoreHub may investigate before or after taking action.

13.2 Competitive consequences

The cancellation of predictions, points, rankings, badges, tokens, pending redemptions, and unfulfilled rewards is governed by the Official Game & Rewards Rules.

13.3 Effect of termination

When your access terminates:

  • Your license to use the Platform ends;
  • You must stop accessing the Platform;
  • Provisions that by their nature should survive will continue to apply.

Surviving provisions include those concerning intellectual property, User Content licenses, investigations, disclaimers, liability, indemnification, dispute resolution, and general legal terms.

13.4 No unauthorized return

You may not create or use another account to evade a suspension, termination, disqualification, restriction, or enforcement action.

14. PLATFORM CHANGES AND AVAILABILITY

ScoreHub may introduce, modify, suspend, replace, or discontinue Platform features.

ScoreHub does not guarantee that the Platform or any particular feature will be available without interruption.

Changes to scoring, competitions, token awards, rewards, redemptions, and active competition periods are governed by the Official Game & Rewards Rules.

Except where those Rules permit otherwise, ScoreHub will ordinarily apply material changes prospectively rather than changing completed competition results retroactively.

ScoreHub may take immediate action where reasonably necessary because of:

  • Legal requirements;
  • Fraud or manipulation;
  • Security threats;
  • Technical failure;
  • Data-provider failure;
  • Manifest errors;
  • Force majeure;
  • Threats to fair competition or Platform integrity.

15. DISCLAIMERS

THE FOLLOWING DISCLAIMERS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. SOME JURISDICTIONS DO NOT PERMIT PARTICULAR DISCLAIMERS, SO SOME OF THIS SECTION MAY NOT APPLY TO YOU.

15.1 “As is” and “as available”

The Platform is provided on an “as is” and “as available” basis.

ScoreHub disclaims warranties of every kind, whether express, implied, statutory, or otherwise, including implied warranties of:

  • Merchantability;
  • Fitness for a particular purpose;
  • Title;
  • Noninfringement;
  • Accuracy;
  • Availability;
  • Security;
  • Uninterrupted operation.

15.2 No guarantee

ScoreHub does not guarantee that:

  • The Platform will always be available;
  • The Platform will be free from errors or harmful components;
  • Football data will always be accurate or timely;
  • Prediction locks will always occur at an expected time;
  • Rankings, points, tokens, or account balances will never require correction;
  • A particular reward will remain available;
  • A delivery provider will complete delivery within an estimated period;
  • Third-party services will operate without interruption.

15.3 Mandatory consumer rights

Nothing in these Terms excludes or limits warranties, remedies, or consumer rights that cannot lawfully be excluded or limited.

16. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SCOREHUB DIGITAL LLC AND ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, DATA PROVIDERS, REWARD PARTNERS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages;
  • Lost profits, revenue, opportunity, goodwill, or data;
  • Loss of points, rankings, badges, tokens, or anticipated rewards;
  • Account compromise caused by a User’s failure to protect account credentials;
  • Third-party data errors or delays;
  • Third-party delivery failures;
  • Platform interruptions;
  • Program modifications;
  • Unauthorized access outside ScoreHub’s reasonable control.

To the fullest extent permitted by applicable law, the total aggregate liability of ScoreHub and the parties identified above for all claims arising from or relating to the Platform or these Terms will not exceed the greater of:

  • US $100; or
  • The amount you paid directly to ScoreHub for the service giving rise to the claim during the twelve months before the event giving rise to liability.

Because ordinary participation in ScoreHub’s rewarded competitions is free, the amount under paragraph 2 may be zero.

These limitations do not exclude or limit liability that cannot lawfully be excluded or limited, including liability for intentional misconduct or other conduct where applicable law prohibits limitation.

17. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ScoreHub Digital LLC and its affiliates, owners, officers, directors, employees, contractors, licensors, and service providers from third-party claims, damages, liabilities, judgments, costs, and reasonable legal fees arising from:

  • Your unlawful use of the Platform;
  • Your material violation of these Terms;
  • Your User Content;
  • Your infringement of another person’s rights;
  • Fraud or intentional manipulation by you;
  • False identity, residence, age, or eligibility information provided by you;
  • Your violation of applicable tax, customs, sanctions, or delivery obligations.

ScoreHub will provide reasonable notice of an indemnified claim where practicable.

ScoreHub may control the defense and settlement of the claim, provided that ScoreHub will not agree to a settlement requiring you to admit wrongdoing or make a payment without your consent, unless a court or arbitrator orders otherwise.

This section does not require indemnification to the extent prohibited by applicable law.

18. COPYRIGHT COMPLAINTS

ScoreHub respects intellectual-property rights.

A copyright owner or authorized agent who believes that material on the Platform infringes a copyright may send a written notice to:

A copyright notice should include:

  • Identification of the copyrighted work claimed to have been infringed;
  • Identification and location of the allegedly infringing material;
  • Contact information for the complaining party;
  • A statement of good-faith belief that the disputed use is unauthorized;
  • A statement, under penalty of perjury, that the notice is accurate and the complaining party is authorized to act;
  • A physical or electronic signature.

ScoreHub may remove or restrict access to material in response to a valid notice and may terminate repeat infringers where appropriate.

A person whose material was removed may submit a counter-notice containing the information required by applicable law.

Knowingly submitting a materially false infringement claim may result in liability.

19. CHANGES TO THESE TERMS

ScoreHub may update these Terms from time to time.

If a change is material, ScoreHub may provide notice through:

  • The Platform;
  • Email;
  • A prominent website notice;
  • Another reasonable method.

Changes become effective on the date identified in the updated Terms.

Where required by applicable law, ScoreHub will request renewed affirmative consent.

Continued use after the effective date constitutes acceptance where permitted by law. If you do not agree to an updated version, you must stop using the Platform and may delete your account.

A material modification to Section 21 will ordinarily apply prospectively to disputes arising after the modification’s effective date. ScoreHub will not use an amendment to avoid an arbitration demand or lawsuit already properly initiated before the amendment.

20. GOVERNING LAW

The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions in Section 21.

To the extent state law applies, these Terms and disputes arising from them are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles.

Mandatory consumer protections of your country, state, province, or jurisdiction of residence continue to apply where they cannot lawfully be waived.

For disputes that are not subject to arbitration, the parties consent to jurisdiction and venue in:

  • The state courts located in Fulton County, Georgia; or
  • The United States District Court for the Northern District of Georgia;

except that:

  • An eligible individual small-claims case may be brought in another proper venue;
  • Mandatory applicable law may require another forum;
  • Section 21 expressly provides otherwise.

21. BINDING INDIVIDUAL ARBITRATION AND CLASS-ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. EXCEPT FOR THE LIMITED EXCEPTIONS BELOW, IT REQUIRES YOU AND SCOREHUB TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. IT ALSO INCLUDES A JURY-TRIAL WAIVER AND CLASS-ACTION WAIVER.

21.1 Informal notice before arbitration

Before starting arbitration, the claimant must send the other party a written Notice of Dispute.

A notice sent to ScoreHub must be sent:

The notice must include:

  • The claimant’s full name;
  • The email address or username associated with the account;
  • The claimant’s contact information;
  • A description of the facts and legal basis of the dispute;
  • The specific relief requested;
  • The claimant’s personal signature.

ScoreHub may send a Notice of Dispute to the email address or mailing address associated with your account.

The parties will attempt in good faith to resolve the dispute for at least thirty days after receipt of a complete notice.

Any applicable limitations period will be suspended during that thirty-day period where permitted by law.

If the dispute remains unresolved after thirty days, either party may commence arbitration.

21.2 Agreement to individual arbitration

Except for the exceptions in Section 21.4, any dispute, claim, or controversy arising out of or relating to:

  • The Platform;
  • These Terms;
  • The Privacy Policy;
  • The Official Game & Rewards Rules;
  • Your account;
  • Predictions and scoring;
  • Leaderboards;
  • Points, tokens, or rewards;
  • Redemptions;
  • User Content;
  • Advertising;
  • Communications;
  • Privacy;
  • The relationship between you and ScoreHub;

will be resolved through final and binding arbitration between you and ScoreHub on an individual basis.

Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules and, where applicable, its Mass Arbitration Supplementary Rules, as modified by this Section.

The Federal Arbitration Act governs this arbitration agreement.

21.3 Arbitration procedure

The arbitration will be heard by one neutral arbitrator.

The proceeding may occur through:

  • Written submissions;
  • Telephone;
  • Videoconference;
  • An in-person hearing where required or appropriate under the applicable rules.

The legal seat of arbitration will be Fulton County, Georgia, unless applicable law or the applicable arbitration rules require otherwise.

An in-person hearing will take place at a reasonably accessible location determined under the applicable arbitration rules, taking account of the User’s residence and the circumstances of the dispute.

The arbitrator may award any individual remedy that would be available in court and necessary to resolve the individual claim, subject to these Terms and applicable law.

The arbitrator must provide a reasoned written decision where required by the applicable rules or requested by either party.

A court with jurisdiction may enter judgment on the arbitration award.

21.4 Exceptions

The following matters are not required to be arbitrated:

  • An individual claim that qualifies for small-claims court, provided it remains individual;
  • A request for temporary or preliminary injunctive relief necessary to protect intellectual property, confidential information, Platform security, or prevent unauthorized access or abuse while arbitration is pending;
  • An action by a government agency acting within its lawful authority;
  • A claim or remedy that applicable law expressly prohibits from being subject to arbitration;
  • A request for public injunctive relief where applicable law provides that such relief cannot be waived or required to proceed exclusively through arbitration.

21.5 Arbitration provider unavailable

If the American Arbitration Association is unavailable or declines to administer the dispute, the parties will attempt in good faith to select another nationally recognized arbitration provider.

If the parties cannot agree, a court with jurisdiction may appoint an arbitration provider or arbitrator under applicable law.

The parties’ agreement to arbitrate will not fail solely because the American Arbitration Association is unavailable.

21.6 Arbitration costs

Filing fees, administrative fees, and arbitrator compensation will be allocated under the applicable Consumer Arbitration Rules.

ScoreHub will pay fees that the applicable rules require the business to pay.

Each party will ordinarily be responsible for its own attorneys’ fees and costs, unless:

  • Applicable law authorizes an award of fees;
  • The arbitrator awards fees;
  • A claim or defense is determined to be frivolous or brought for an improper purpose.

21.7 Class-action waiver

YOU AND SCOREHUB AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY.

Neither party may bring or participate in a claim as:

  • A plaintiff or class member in a class action;
  • A participant in a collective or consolidated action;
  • A private attorney general;
  • A representative of another person;
  • A participant in a representative proceeding.

Unless both parties agree in writing after the dispute arises, the arbitrator may not:

  • Combine the claims of more than one person;
  • Conduct a class, collective, consolidated, or representative proceeding;
  • Award relief for anyone other than the individual parties.

This subsection does not prevent the application of administrative procedures for coordinated or mass-filed individual arbitration demands. Each claim must remain an individual claim unless the parties expressly agree otherwise.

21.8 Jury-trial waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND SCOREHUB KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE COVERED BY THESE TERMS.

21.9 Severability of arbitration terms

If a final court decision determines that the class-action waiver is unenforceable as to a particular claim or request for relief, that claim or request will proceed in court rather than class arbitration.

Where permitted by law, the court proceeding will be stayed until all arbitrable individual claims are completed.

The remaining provisions of this arbitration agreement will remain enforceable.

If another part of Section 21 is determined to be invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining portions will remain effective.

21.10 Authority to decide arbitration issues

Except for questions concerning the enforceability of the class-action waiver, the arbitrator will decide disputes concerning the interpretation, scope, applicability, enforceability, or formation of this arbitration agreement.

A court will decide questions concerning the enforceability of the class-action waiver.

21.11 Optional arbitration opt-out

You may opt out of the arbitration agreement in this Section by sending a written notice within thirty days after the date you first accept these Terms.

Your opt-out notice must include:

  • Your full name;
  • Your ScoreHub username or account email address;
  • A clear statement that you are opting out of the arbitration agreement;
  • Your personal signature.

The notice must be sent to legal@scorehubapp.com with the subject “Arbitration Opt-Out.”

Opting out of arbitration will not affect the remaining provisions of these Terms or your ability to use the Platform.

An opt-out applies only to the individual who properly submitted it and may not be submitted on behalf of another person.

22. EXPORT CONTROLS AND SANCTIONS

You may not use, export, re-export, transfer, or access the Platform in violation of applicable sanctions, export-control laws, or trade restrictions.

You represent that you are not:

  • Located in a jurisdiction where ScoreHub is prohibited from providing the Platform;
  • Identified on an applicable restricted-party list;
  • Using the Platform on behalf of a restricted person or organization.

ScoreHub may restrict accounts, verification, token awards, redemptions, or rewards where reasonably necessary to comply with sanctions or export-control obligations.

23. GENERAL TERMS

23.1 Entire agreement

These Terms, the Privacy Policy, the Official Game & Rewards Rules, and applicable specific promotion or competition terms form the entire agreement concerning the matters they govern.

23.2 Severability

If a provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective, subject to the specific severability rules in Section 21.

23.3 No waiver

ScoreHub’s failure or delay in enforcing a provision does not waive its right to enforce that provision later.

A waiver is effective only if made in writing by an authorized ScoreHub representative.

23.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without ScoreHub’s written permission.

ScoreHub may assign or transfer these Terms in connection with:

  • A merger;
  • An acquisition;
  • A corporate restructuring;
  • A financing;
  • A sale of assets;
  • A transfer to an affiliate;
  • A change in the operator of the Platform.

23.5 No third-party beneficiaries

These Terms do not create rights for third parties except where expressly stated.

23.6 Headings

Section titles are provided for convenience and do not limit the meaning of the provisions.

23.7 Interpretation

“Including” means “including without limitation.”

References to the singular include the plural where appropriate.

Electronic records and communications satisfy requirements that information be provided in writing where permitted by law.

23.8 Translations

ScoreHub may provide translated versions of these Terms.

If a translation conflicts with the English version, the English version controls to the fullest extent permitted by applicable law.

23.9 Force majeure

ScoreHub is not responsible for delay, interruption, suspension, modification, or failure caused by circumstances outside its reasonable control, including:

  • Internet or cloud outages;
  • Data-provider failures;
  • Cyberattacks;
  • Supplier or carrier disruption;
  • Labor disputes;
  • Natural disasters;
  • Epidemics;
  • War or terrorism;
  • Civil unrest;
  • Government action;
  • Sanctions;
  • Changes in law;
  • Interruption or cancellation of football competitions.
